1. Introduction and Acceptance of Terms
Welcome to Tax & Books Pro, LLC (“Tax & Books Pro,” “we,” “our,” or “us”), a California-registered financial services firm offering professional tax, bookkeeping, payroll, accounting, and advisory services.
By accessing or using our website (www.taxandbookspro.com), client portal, or any of our financial, consulting, or advisory services, you (“Client,” “you,” or “your”) agree to be bound by these Terms of Service, along with our Privacy Policy and any other written agreements executed between you and Tax & Books Pro.
If you do not agree to these Terms, you must discontinue use of our services and website immediately. Continued use constitutes acceptance of all provisions herein.
2. Our Professional Role and Services
Tax & Books Pro is a licensed Enrolled Agent (EA) firm, authorized by the Internal Revenue Service (IRS) to represent taxpayers before federal and state tax authorities. We provide services in compliance with IRS Circular 230 and professional ethical standards.
Our Core Services Include:
- Tax Services

These services are rendered either in-person, virtually, or through secure client portals integrated with trusted third-party systems such as QuickBooks Online, Microsoft 365, Google Workspace, and other compliant tools.
3. Client Responsibilities and Data Accuracy
As a client, you are responsible for providing complete, accurate, and timely information necessary for the performance of our services. This includes (but is not limited to):
- Income and expense documentation
- Payroll and employee data
- Corporate or LLC organizational records
- Tax identification numbers and prior returns
Failure to provide requested data in a timely manner may delay filings, generate penalties, or cause inaccurate outcomes for which Tax & Books Pro is not responsible.
You agree to retain original copies of all records submitted to us, as we maintain only digital copies within our secure systems.
4. Engagement and Scope of Work
Each engagement will be formalized through a written Engagement Letter or Service Proposal, defining:
- The scope of work
- Service deliverables
- Deadlines and milestones
- Fee structures and payment schedules
Work outside the agreed scope (including amended returns, special audits, or extended advisory sessions) may incur additional charges billed at standard hourly or project rates.
5. Professional Standards and Ethical Compliance
Tax & Books Pro operates in compliance with:
- IRS Circular 230 (standards of practice before the IRS)
- California Board of Accountancy and California Business & Professions Code §5063
- Treasury Department Regulations (31 C.F.R. Part 10) governing enrolled agents
We maintain strict confidentiality, data security, and ethical standards in every engagement. Our Enrolled Agents are bound by ongoing education, federal licensing requirements, and ethical conduct obligations.
6. Fees, Billing, and Payment Terms
6.1 Fee Structure
Service fees are determined based on complexity, volume, and time invested. Rates are communicated clearly in each engagement letter.
All quoted prices are exclusive of government fees, bank charges, or third-party processing fees.
6.2 Payment Terms
Payments are due upon receipt unless otherwise stated.
Accepted payment methods include secure electronic transfer, credit card, or ACH via our authorized payment gateways.
6.3 Late Payments
Late or unpaid invoices may incur a finance charge of 1.5% per month (or the maximum rate permitted by California law). Services may be suspended for non-payment, and we reserve the right to withhold filings or documentation until payment is complete.
7. Refund and Cancellation Policy
All professional fees are non-refundable once work has commenced due to the time-sensitive and knowledge-based nature of our services.
Refunds may be considered only for:
- Duplicate payments
- Canceled engagements prior to service initiation
Refund decisions are at the sole discretion of Tax & Books Pro management.
8. Confidentiality and Data Protection
Tax & Books Pro complies with the Gramm-Leach-Bliley Act (GLBA), FTC Safeguards Rule, and IRS Publication 4557.
All client data is safeguarded using:
- End-to-end encryption (256-bit SSL/TLS)
- Encrypted cloud storage on platforms like Google Drive, Dropbox, Amazon Web Services (AWS), and Microsoft 365
- Role-based access control and multi-factor authentication
We will never sell, rent, or trade your personal or financial information.
Data is retained for five (5) years following completion of services, after which it is permanently deleted in compliance with data retention laws.
9. Use of Third-Party Platforms
Tax & Books Pro integrates secure external services such as QuickBooks Online, Microsoft 365, Google Workspace, Gusto, and secure file transfer systems.
Each provider maintains its own compliance under SOC 2, ISO 27001, or GDPR frameworks.
You acknowledge that while we vet all vendors for compliance, we are not liable for breaches directly attributable to third-party systems beyond our operational control.
10. Representation Before IRS and FTB
Our Enrolled Agents (EAs) are federally licensed to represent you before the IRS and California FTB in audits, appeals, and collections.
Representation requires your written authorization via IRS Form 2848 (Power of Attorney) or equivalent state form.
Our representation does not guarantee specific outcomes but ensures that your case is managed professionally, ethically, and in full compliance with governing law.
11. Professional Liability and Limitations
Our total liability for any claim, loss, or damage arising from our services shall not exceed the total amount of fees paid for that engagement.
We shall not be liable for any indirect, incidental, or consequential damages, including loss of income, tax penalties, or third-party claims resulting from reliance on our services.
12. Record Retention and Access
We retain electronic copies of client data for five (5) years in secure encrypted storage.
Clients are responsible for keeping original documentation for at least seven (7) years to comply with IRS audit standards.
Upon written request, we may provide a summary of retained documents prior to destruction.
13. Communications and Consent
By engaging with Tax & Books Pro, you consent to receive electronic communications including emails, SMS notifications, and client portal messages.
Electronic communications satisfy any legal requirement that such notices be in writing under the Electronic Signatures in Global and National Commerce Act (E-SIGN).
14. Marketing and Testimonials
You grant Tax & Books Pro permission to use anonymous, non-identifiable information (e.g., industry, business type, tax scenario) in educational or marketing materials, case studies, and testimonials.
We will never disclose personal names, SSNs, or confidential financial data without express written consent.
15. Intellectual Property
All website content, designs, graphics, and proprietary resources on www.taxandbookspro.com are owned by Tax & Books Pro and protected under U.S. Copyright Law (17 U.S.C. §101 et seq.).
Unauthorized use, reproduction, or redistribution of content is prohibited.
16. Compliance With Laws
Tax & Books Pro complies with all applicable laws and standards, including but not limited to:
- Internal Revenue Code and U.S. Treasury Regulations
- California Franchise Tax Board and Employment Development Department regulations
- California Consumer Privacy Act (CCPA/CPRA)
- Gramm-Leach-Bliley Act (GLBA)
- USA PATRIOT Act (anti-money laundering compliance)
- Federal Trade Commission (FTC) Safeguards Rule
17. Termination of Engagement
Either party may terminate services at any time by written notice. Upon termination:
- Outstanding fees become immediately due
- We may retain records until full payment is received
- Tax & Books Pro may issue a disengagement letter to clarify the termination scope
Termination does not relieve either party of obligations accrued prior to termination.
18. Force Majeure
Tax & Books Pro shall not be liable for any delay or failure in performance due to events beyond reasonable control, including but not limited to natural disasters, power outages, cyberattacks, data center failures, or government restrictions.
18A. Cybersecurity and Technical Limitations
We employ robust data protection measures, but no system is 100% secure. Tax & Books Pro shall not be liable for:
- Unauthorized access resulting from hacking, phishing, or password compromise;
- Data loss, corruption, or interruption due to system failures, power outages, or natural disasters;
- Delays in communication or transmission caused by internet disruptions or third-party providers.
We strongly recommend clients maintain up-to-date antivirus software, secure Wi-Fi connections, and unique, complex passwords for their accounts.
18B. Client Acknowledgment of Risk
By using our services, you expressly acknowledge and accept the following:
- Electronic data transmissions are inherently vulnerable to interception or unauthorized access despite encryption safeguards.
- Cloud-based services, while compliant, are hosted by independent vendors and subject to their own risk profiles.
- Tax & Books Pro cannot guarantee the absolute security, integrity, or availability of digital data stored or transmitted through third-party systems.
18C. Limitation of Damages for Technical Errors
In the event of any technical malfunction, system downtime, or data transmission error, Tax & Books Pro’s liability is limited exclusively to re-performing the affected portion of the service at no additional charge.
We will not be responsible for indirect, incidental, or consequential damages resulting from system errors, cyberattacks, or service interruptions.
19. Binding Arbitration
All disputes, claims, or controversies arising from this agreement shall be resolved through binding arbitration under the rules of the American Arbitration Association (AAA) in Sacramento County, California.
Both parties waive the right to a jury trial or class action. Arbitration decisions are final and enforceable in any court of competent jurisdiction.
20. Governing Law
These Terms are governed by the laws of the State of California and applicable U.S. federal laws.
Any disputes not subject to arbitration will be brought exclusively before the courts of Sacramento County, California.
21. Indemnification
You agree to indemnify, defend, and hold harmless Tax & Books Pro, its officers, employees, agents, and affiliates from any claims, losses, damages, or expenses arising from your breach of these Terms, misuse of services, or violation of applicable laws.
22. Amendments and Updates
Tax & Books Pro reserves the right to modify these Terms at any time. Updated versions will be posted on our website with a revised “Last Updated” date.
Continued use of our services after such changes constitutes your acceptance of the updated Terms.
